gridSoftware as a Service (SaaS) Agreement

This Software as a Service Agreement sets out the legal terms governing the use of the Latttice platform and other software services provided by Data Tiles Ltd.

Introduction

This Software as a Service Agreement ("Agreement") governs the use of the Latttice platform and other software services provided by Data Tiles Ltd, a company incorporated in England and Wales ("Data Tiles", "Company", "we", "our", or "us").

These platforms and services are referred to collectively in this Agreement as the "Software" or "Services."

These platforms and services may include Latttice and other software tools, applications, or data platforms developed, operated, or made available by Data Tiles.

This Agreement applies when the Software is hosted and operated by Data Tiles as a Software as a Service platform.

By registering for or using the Software, you ("Customer", "User", or "you") agree to be bound by this Agreement. If you do not agree to these terms, you must not access or use the Software.

Agreement Acceptance

By accessing, registering for, or using the Software, you confirm that you have read and understood this Agreement and agree to be bound by its terms. If you access the Software on behalf of an organization, you represent that you have the authority to bind that organization to this Agreement. If you do not agree to these terms, you must not access or use the Software.

1. Overview of Latttice

Latttice is an AI-powered data product workbench designed to enable organizations to create, manage, govern, and share trusted data products across business teams, analytics platforms, and AI systems.

The platform may include capabilities such as the creation of structured and unstructured data products, integration with external data sources, governance and access controls, analytics and artificial intelligence enablement, and secure sharing of data products across teams.

This Agreement applies to the hosted Software as a Service version of Latttice operated by Data Tiles. Where the Software is deployed within a Customer’s own infrastructure or cloud environment, a separate Customer Hosted Software Licence Agreement will apply.


2. License to Use the Software

Subject to this Agreement, Data Tiles grants Customer a limited, non-exclusive, non-transferable, and non-sublicensable license to access and use the Software during the applicable subscription term.

This license permits Customer to access the platform through approved interfaces, create and manage data products, integrate with authorized data sources, and generate analytics or operational insights for internal business purposes.

This Agreement grants only a right to use the Software and does not transfer any ownership or intellectual property rights in the Software to the Customer.

The Customer may permit authorized users within its organization to access and use the Software in accordance with this Agreement. The Customer is responsible for ensuring that all authorized users comply with the terms of this Agreement.

All rights not expressly granted to the Customer under this Agreement are reserved by Data Tiles.


3. License Restrictions

Customer must not, and must not permit any third party to:

• copy, modify, translate, or create derivative works of the Software • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software • sublicense, sell, rent, lease, distribute, or otherwise make the Software available to any third party except as expressly permitted by this Agreement • bypass or attempt to bypass security controls or access restrictions within the Software • use the Software to develop, support, or operate a competing product or service.

Customer must not use the Software to train machine learning models or artificial intelligence systems that compete with the Software or services provided by Data Tiles.

Customer must not use automated scraping tools, bots, or extraction technologies to access, copy, or collect information from the Software except through approved interfaces.

Any use of the Software that violates these restrictions constitutes a material breach of this Agreement and may result in suspension or termination of access.


4. Customer Data

Customer retains all rights, title, and interest in and to any data, content, or materials uploaded to, connected to, or generated through the Software ("Customer Data").

Customer grants Data Tiles a limited, non-exclusive right to access, process, store, transmit, and use Customer Data solely for the purpose of providing, operating, securing, maintaining, and improving the Software in accordance with this Agreement.

Data Tiles will not access or use Customer Data except as necessary to provide the Software, maintain platform functionality, improve service performance in aggregated or anonymized form, comply with applicable law, or enforce this Agreement.

Customer is responsible for ensuring that it has all necessary rights, permissions, and legal authority to upload, process, store, and use Customer Data within the Software.

Customer acknowledges that the Software may operate across multiple cloud infrastructure environments and jurisdictions in order to provide reliable global services.


5. Data Security

Data Tiles will implement commercially reasonable technical and organizational measures designed to protect Customer Data from unauthorized access, loss, misuse, or alteration.

These measures may include access controls, encryption technologies, infrastructure security protections, and operational monitoring of the platform environment.

While Data Tiles takes reasonable steps to protect Customer Data, no system can guarantee absolute security. Customers remain responsible for maintaining appropriate access controls and protecting credentials associated with their accounts.


6. Data Processing and Privacy

Where Data Tiles processes personal data on behalf of the Customer in connection with the provision of the Software, such processing will be governed by a separate Data Processing Agreement (DPA) where required by applicable data protection laws.

Data Tiles’ collection and use of personal data is further described in the Data Tiles Privacy Policy.

Customers are responsible for ensuring that their use of the Software and any Customer Data processed within the platform complies with applicable privacy and data protection laws in the jurisdictions in which they operate.

Where Customer Data is transferred across international jurisdictions in order to operate the Software, such transfers will be carried out in accordance with applicable data protection laws and appropriate safeguards.


7. Subprocessors

Data Tiles may engage third-party service providers ("Subprocessors") to support the operation and delivery of the Software, including providers of cloud infrastructure, hosting, security, analytics, and support services.

Data Tiles will ensure that any Subprocessors are subject to appropriate confidentiality, security, and data protection obligations consistent with this Agreement and applicable data protection laws.

Data Tiles remains responsible for the performance of its Subprocessors in connection with the services provided under this Agreement.


8. Acceptable Use

Customer agrees to use the Software in accordance with the Data Tiles Acceptable Use Policy, which forms part of this Agreement.

Customer must not use the Software for any unlawful purpose, to infringe the intellectual property rights of others, to distribute malicious software, to attempt unauthorized access to systems or data, or in any manner that could disrupt, damage, or impair the operation of the Software or related services.

Data Tiles reserves the right to suspend or terminate access to the Software if the Customer violates the Acceptable Use Policy or engages in activities that threaten the security, integrity, or availability of the platform.


9. Service Availability

Data Tiles will use commercially reasonable efforts to maintain the availability and performance of the Software.

However, the Software may occasionally be unavailable due to scheduled maintenance, infrastructure upgrades, security updates, or circumstances beyond Data Tiles’ reasonable control, including internet disruptions or third-party service failures.

Where applicable, service availability targets and support commitments may be described in a separate Service Level Agreement (SLA).


10. Subscription and Payment

Access to the Software is provided on a subscription basis in accordance with the pricing plans made available by Data Tiles.

Customer agrees to pay all applicable fees associated with the selected subscription plan. Subscription plans may define applicable fees, billing cycles, usage limits, and included support services.

All fees are payable in the currency specified at the time of purchase and are non-refundable except where required by applicable law.

Customer is responsible for providing accurate billing information and for paying any applicable taxes, duties, or governmental charges associated with the use of the Software.

Data Tiles reserves the right to suspend or restrict access to the Software if payment obligations are not met.


11. Free Trial

Data Tiles may offer a free trial period for the Software to allow potential customers to evaluate the platform.

The duration and features available during the trial period will be specified at the time of registration.

At the end of the trial period, access to the Software may be suspended unless the Customer chooses to subscribe to a paid plan.

Data Tiles reserves the right to modify, limit, or terminate trial offerings at its discretion.


12. Customer Responsibilities

The Customer is responsible for ensuring that its use of the Software complies with all applicable laws and regulations and that it has the necessary rights, permissions, and legal authority to process any data used within the Software.

The Customer is solely responsible for the legality, accuracy, quality, and integrity of any data uploaded, processed, or analyzed through the Software.

The Software may generate insights, recommendations, or outputs derived from automated analysis or artificial intelligence. Such outputs are provided for informational purposes only and should not be relied upon as professional advice or as the sole basis for business decisions.

The Customer remains responsible for verifying the accuracy and suitability of any outputs generated by the Software.

The Customer agrees not to use the Software in violation of any applicable export control, sanctions, or trade laws of the United Kingdom, the United States, or any other applicable jurisdiction.

The Customer must not use the Software, its outputs, or any insights generated by the Software to train, develop, or improve artificial intelligence systems, machine learning models, or competing data platforms without the prior written consent of Data Tiles.


13. Limitation of Liability

To the maximum extent permitted by applicable law, Data Tiles shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill arising from or related to the use or inability to use the Software.

Data Tiles’ total aggregate liability under this Agreement shall not exceed the total fees paid by the Customer for access to the Software during the twelve (12) months preceding the event giving rise to the claim.

Nothing in this Agreement shall exclude or limit liability where such exclusion or limitation is prohibited under applicable law.


14. Indemnification

The Customer agrees to indemnify, defend, and hold harmless Data Tiles, its affiliates, directors, officers, employees, and partners from and against any claims, damages, liabilities, losses, costs, or expenses arising out of the Customer’s use of the Software, violation of this Agreement, or breach of applicable laws or regulations.


15. Termination

Either party may terminate this Agreement if the other party materially breaches its obligations and fails to remedy the breach within thirty (30) days of receiving written notice.

Data Tiles may suspend or terminate access to the Software if the Customer’s use of the platform poses a security risk, violates applicable laws, or breaches the terms of this Agreement.

Upon termination, the Customer’s right to access and use the Software will immediately cease.


16. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under this Agreement where such failure results from events beyond its reasonable control, including natural disasters, acts of government, war, terrorism, labor disputes, internet outages, or failures of third-party infrastructure providers.


17. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing in this Agreement prevents Data Tiles from seeking injunctive or equitable relief in any jurisdiction where infringement of its intellectual property rights or misuse of the Software may occur.


18. Miscellaneous

This Agreement constitutes the entire agreement between the parties regarding the use of the Software and supersedes all prior agreements or understandings relating to its subject matter.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Failure by Data Tiles to enforce any right or provision under this Agreement shall not constitute a waiver of such right.


19. Notices

All notices or communications required under this Agreement must be provided in writing.

Notices to Data Tiles should be sent to the contact email address published on the Data Tiles website.

Notices to the Customer may be sent to the email address associated with the Customer’s account.


20. Company Information

The Software and Services described in this Agreement, including the Latttice platform and other software platforms operated by Data Tiles, are provided by Data Tiles Ltd, a company incorporated in England and Wales.

Data Tiles operates globally and may maintain offices, employees, or representatives in multiple jurisdictions to support customers and partners worldwide.
